OFFICIAL CONTEST RULES AND REGULATIONS

THIS IS NOT A PUBLIC CONTEST. THIS CONTEST IS OPEN ONLY TO AUTHORIZED CLINICS IN CANADA.

1. KEY DATES:

The Petline Holiday Contest (the “Contest”) begins on November 15, 2022 at 12:00 a.m. Eastern Time (“ET”) and ends on December 9, 2022 at 11:59 p.m. ET (the “Contest Period”). Each “Day” of the Contest Period begins at 12:00 a.m. ET and ends at 11:59 p.m. ET of a day during the Contest Period.

2. ELIGIBILITY TO ENTER:

The Contest is open only to clinic partners of Petline Insurance Company (the "Sponsor") that: (i) have a valid referral arrangement with the Sponsor; (ii) are located in any province of Canada or Yukon territory; and (iii) are the named and intended recipient of a promotional email (or promotional emails) inviting the clinic to participate in the Contest (an “Email”), as received directly from or on behalf of the Sponsor (a “Clinic”). All determinations as to whether or not a Clinic is eligible to participate in the Contest will be made by the Sponsor in its sole and absolute discretion. For certainty, employees, representatives and agents (and those with whom such persons are living, whether related or not) of the Sponsor, its parent companies, subsidiaries, affiliates, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration or fulfilment of the Contest (collectively, the “Contest Parties”) are not eligible to enter.

For the purposes of participating in this Contest (including, but not limited to, agreeing to be legally bound by these Official Contest Rules and Regulations (the “Rules”) and signing all required documentation), each Clinic must designate one (1) authorized representative (each, an “Authorized Representative”) who must: (i) be a resident of Canada; (ii) have reached the legal age of majority in their province/territory of residence at the time of participation; and (iii) have the authority to legally bind the Clinic – including, but not limited to, legally binding the Clinic to these Rules and any other required documentation. FOR GREATER CERTAINTY AND THE AVOIDANCE OF ANY DOUBT, THE AUTHORIZED REPRESENTATIVE IS NOT THE PARTICIPANT IN THIS CONTEST AND HAS NO RIGHTS WHATSOEVER TO CLAIM A PRIZE. THE PARTICIPANT IN THIS CONTEST IS THE CLINIC.

3. AGREEMENT TO BE LEGALLY BOUND BY RULES:

By participating in this Contest, each participant and Authorized Representative is signifying their agreement to be legally bound by these Rules.

4. INSTAGRAM AND FACEBOOK NOT INVOLVED:

The Contest is in no way sponsored, endorsed or administered by, or associated with Instagram or Facebook (each, a “Social Platform”). The Social Platforms are hereby completely released of all liability by each entrant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not to a Social Platform. To be eligible to earn an Entry (defined below) in this Contest, a participant’s Instagram or Facebook (as applicable) account (each, an “Account”) must be set to allow posts to be viewed by the public and receive direct messages from the Sponsor.

5. HOW TO ENTER:

NO PURCHASE NECESSARY. MAKING A PURCHASE WILL NOT INCREASE THE CHANCES OF WINNING.

During the Contest Period, participants can earn a base entry (each, a “Base Entry”) in the Contest as follows:

Free Trial Activation: Select the Contest entry link within the Email to access the Contest website (the “Website”) and follow all on-screen instructions to: (i) activate an eligible free trial offer from the Sponsor; and (ii) fully complete and submit the official Contest form with all required information, which will include a requirement to enter the free trial’s activation number. When all of the foregoing steps are complete, a participant will automatically be eligible to earn one (1) Base Entry in the Contest. To be eligible, an eligible free trial offer from the Sponsor must be activated, and the corresponding free trial activation number must be submitted and received (along with any other information required by the Sponsor), in accordance with these Rules during the Contest Period. Limit of one (1) Base Entry per free trial activation. For greater certainty and the avoidance of any doubt, no purchase or payment information is necessary to activate an eligible free trial offer.

Each Day of the Contest, participants can earn a bonus entry (each, a “Bonus Entry”) in the Contest by completing a bonus method of entry in accordance with these Rules. One (1) of the following bonus methods of entry will be made available by the Sponsor per Day of the Contest on the Website (the bonus method of entry that is made available on each Day of the Contest will be determined by the Sponsor, at its sole and absolute discretion):

Submit a Picture: Access the Website and follow all on-screen instructions to: (i) obtain the picture theme for that Day of the Contest, as communicated by the Sponsor on the Website (the “Picture Theme”); (ii) take a unique and original picture that depicts or otherwise reflects the Picture Theme (a “Picture”); and (iii) submit the Picture, and signify consent for the Sponsor to publish and otherwise use the Picture, to the participant’s applicable territory manager via email. When all of the foregoing steps are complete, a participant will automatically be eligible to earn one (1) Bonus Entry in the Contest. To be eligible, a Picture must: (i) be submitted and received in accordance with these Rules during the applicable Day of the Contest Period; (ii) reflect the applicable Picture Theme and include all required components and materials noted above and on the Website; and (iii) be in accordance with these Rules, including, but not limited to, the specific Participation Requirements listed below (all as determined by the Sponsor in its sole and absolute discretion). Limit of one (1) Bonus Entry per Picture.
Submit a Testimonial: Access the Website and follow all on-screen instructions to: (i) write a unique and original testimonial (note: the testimonial must talk specifically about the participant’s genuine experiences, impressions, points of view, etc. relating to the Sponsor and its products or services) (a “Testimonial”); and (ii) fully complete and submit the official Contest form with the all required information, which will include a requirement to submit the Testimonial and signify consent for the Sponsor to publish and otherwise use the Testimonial. When all of the foregoing steps are complete, a participant will automatically be eligible to earn one (1) Bonus Entry in the Contest. To be eligible, a Testimonial must: (i) be submitted and received in accordance with these Rules during the applicable Day of the Contest Period; (ii) include all required components and materials noted above and on the Website; and (iii) be in accordance with these Rules, including, but not limited to, the specific Participation Requirements listed below (all as determined by the Sponsor in its sole and absolute discretion). Limit of one (1) Bonus Entry per Testimonial.
Social Media Post: Access the Website and follow all on-screen instructions to: (i) obtain the social media post theme for that Day of the Contest, as communicated by the Sponsor on the Website (the “Post Theme”); and (ii) publish an in-feed post to the participant’s Instagram Account or business page of the participant’s Facebook Account that includes (a) a unique and original picture that depicts or otherwise reflects the Post Theme, and (b) the hashtags #contest, #PetsecureHolidays, and #HolidayOVMA (a “Post”). When all of the foregoing steps are complete, a participant will automatically be eligible to earn one (1) Bonus Entry in the Contest. For certainty, if a Post is published to Facebook, the Post must be published to a Facebook business page (posts that are published to a personal timeline on Facebook are not permitted nor eligible in the Contest). To be eligible, a Post must: (i) be submitted and received in accordance with these Rules during the applicable Day of the Contest Period; (ii) reflect the applicable Post Theme and include all required components and materials noted above and on the Website (including, without limitation, the required hashtags); (iii) be in accordance with these Rules, including, but not limited to, the specific Participation Requirements listed below; and (iv) be in accordance with the applicable terms, rules, policies and guidelines of the applicable Social Platform (the “Social Platform Rules”) (all as determined by the Sponsor in its sole and absolute discretion). Limit of one (1) Bonus Entry per Post.

Standard data rates apply to participants who choose to participate in the Contest via a mobile device. Please contact your service provider for pricing and service plan information and rates before mobile device participation.

6. ENTRY LIMIT AND CONDITIONS:

There is no limit to the number of Base Entries and Bonus Entries (collectively, “Entries”) that can be received per participant in the Contest. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) exceed any of the limits stated in these Rules; (ii) use multiple names, identities, e-mail addresses, Accounts and/or use any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or to disrupt the Contest; and/or (iii) disrupt or participate in the Contest in any other fraudulent or misleading way, then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor.

The Contest Parties, Meta Platforms, Inc. and each of their respective agents, employees, directors, officers, successors, and assigns (collectively, the “Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible Pictures, Testimonials, Posts, Entries, all content and materials associated with an Entry (the “Entry Materials”) and/or any other Contest-related information (collectively, “Contest-Related Information”), all of which are void. An Entry may be rejected if, in the sole and absolute discretion of the Sponsor: (i) the Entry (including, but not limited to, any associated Entry Materials) is not submitted and received in accordance with these Rules during the Contest Period; and/or (ii) the Entry (including, but not limited to, any associated Entry Materials) is not in compliance with these Rules (including, but not limited to, the specific Participation Requirements listed below, as applicable), all as determined by the Sponsor in its sole and absolute discretion.

7. VERIFICATION:

All Contest-Related Information and participants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying a participant’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Contest-Related Information and/or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of the Contest will be the official time-keeping device(s) used by the Sponsor.

8. PARTICIPATION REQUIREMENTS:

BY PARTICIPATING IN THIS CONTEST, EACH PARTICIPANT AGREES TO RELEASE THE RELEASED PARTIES FROM ANY AND ALL LIABILITY IN CONNECTION WITH THE CONTEST AND THE PARTICIPANT’S PARTICIPATION THEREIN AND TO INDEMNIFY THE RELEASED PARTIES AGAINST ANY AND ALL CLAIMS, DAMAGES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM THE PARTICIPANT’S PARTICIPATION IN THE CONTEST. BY PARTICIPATING IN THIS CONTEST, EACH PARTICIPANT ALSO AGREES THAT THE PARTICIPANT’S ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED PARTIES WILL BEAR NO LIABILITY WHATSOEVER REGARDING: (I) THE USE OF A PARTICIPANT’S ENTRY (OR ANY COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS); (II) PARTICIPATION IN ANY CONTEST-RELATED ACTIVITIES; (III) ANY USE, COLLECTION, STORAGE AND DISCLOSURE OF ANY PERSONAL INFORMATION; AND/OR (IV) IF DECLARED A WINNER, THE PRIZE (INCLUDING ANY USE OR MISUSE OF THE PRIZE). THE RELEASED PARTIES SHALL BE HELD HARMLESS BY EACH PARTICIPANT IN THE EVENT IT IS DISCOVERED THAT THE PARTICIPANT HAS DEPARTED FROM OR NOT OTHERWISE FULLY COMPLIED WITH ANY OF THESE RULES AND/OR THE SOCIAL PLATFORM RULES (AS APPLICABLE). THIS RELEASE AND INDEMNITY SHALL CONTINUE IN FORCE FOLLOWING THE TERMINATION OF THE CONTEST AND/OR AWARDING OF ANY PRIZE.

By participating in the Contest, each participant hereby warrants and represents that any Entry Materials submitted:

is/are original and that the participant has obtained all necessary rights in and to the Entry Materials for the purposes of entering such Entry Materials in the Contest;
does not violate any law, statute, ordinance or regulation;
does not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;
will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and
is/are not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of the Sponsor); that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of the Sponsor; any identifiable third party products, trade-marks, brands and/or logos, other than those of the Sponsor; conduct or other activities in violation of these Rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) reserves the right to screen all Entry Materials. Any Entry Materials that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules are subject to disqualification. The Reviewer reserves the right, in its sole and absolute discretion at any time and for any reason, to remove any Entry Materials (or any part thereof) and/or to request an entrant to modify, edit and/or re-submit his or her Entry Materials (or any part thereof) in order to ensure that the Entry Materials comply with these Rules, or for any other reason. If such an action is necessary at any point during or after the Contest, then the Sponsor reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the Entry Materials (and therefore the corresponding Entry and/or the associated participant) – to help ensure that the Contest is being conducted in accordance with the letter and spirit of these Rules.

9. LICENSE:

By entering the Contest and submitting an Entry, each participant: (i) without limiting the Social Platform Rules, as applicable, grants to the Sponsor, in perpetuity, a worldwide, non-exclusive, license to publish, display, reproduce, modify, edit, make available, communicate to the public by telecommunication and otherwise use the Entry Materials (and each component thereof), in whole or in part, for advertising or promoting the Contest or for any other reason in any type of media; (ii) waives all moral rights in and to the Entry Materials (and each component thereof) in favour of the Sponsor (and anyone authorized by the Sponsor to use such Entry Materials); and (iii) agrees to release and hold harmless the Released Parties from and against any and all claims, damages, liabilities, costs, and expenses arising from use of the Entry Materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.

10. PRIZES:

There are three (3) prizes available to be won (each, a “Prize”) as follows:

a) one (1) wellness prize package, with an approximate retail value (“ARV”) of $500 CAD;

b) one (1) movie night prize package, with a ARV of $300 CAD; and,

c) coffee gift cards, with a total ARV of $200 CAD.

The following general conditions apply to each Prize: (i) Prize must be accepted as awarded and is not transferable, assignable or convertible to cash (except as may be specifically permitted by the Sponsor in its sole and absolute discretion); (ii) no substitutions are permitted, except at the Sponsor’s option; (iii) the Sponsor reserves the right to substitute the Prize in whole or in part in the event that all or any component of such Prize is unavailable with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; (iv) all characteristics and features of the Prize, except as otherwise explicitly stated above, are at the Sponsor’s sole and absolute discretion; (v) Prize winner is solely responsible for all costs not expressly described herein; and (vi) gift cards are subject to all of the terms and conditions as stated by the applicable issuer. IMPORTANT NOTE: Prizes will be awarded to the confirmed winning Clinics. The Contest Parties will not involve themselves in, and the Released Parties accept no obligation or liability in respect of, any decision regarding the subsequent distribution, allocation, use or misuse of a Prize.

None of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, each confirmed winner understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the other Released Parties should a Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting a Prize, a confirmed winner agrees to waive all recourse against the Sponsor and all of the other Released Parties if the Prize or a component thereof does not prove satisfactory, either in whole or in part. Limit of one (1) Prize per Clinic.

11. ELIGIBLE WINNER SELECTION PROCESS:

On December 20, 2022 (the “Selection Date”) in Winnipeg, Manitoba at approximately 12:00 p.m. ET, the Sponsor or its designated representative will perform a random draw from among all eligible Entries submitted and received in accordance with these Rules during the Contest Period to select the potential Prize winning Clinics. Prizes will be drawn in the order that they are listed above. The odds of winning depend on the number of eligible Entries submitted and received in accordance with these Rules during the Contest Period.

12. ELIGIBLE WINNER NOTIFICATION PROCESS:

The Sponsor or its designated representative will make a minimum of two (2) attempts to contact the Authorized Representative of each eligible winning Clinic within two (2) business days of the Selection Date. A potential winner is solely responsible for ensuring he/she is able to receive such notification messages, monitoring for such notification messages and following all instructions contained in such notification messages, failing which, he/she may be disqualified (as determined by the Sponsor at its sole discretion).

13. ELIGIBLE WINNER CONFIRMATION PROCESS:

NO CLINIC IS A WINNER UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS THE CLINIC AS A WINNER IN ACCORDANCE WITH THESE RULES. BEFORE BEING DECLARED AS A CONFIRMED WINNING CLINIC, the Authorized Representative of the eligible winning Clinic will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release); and (b) sign and return within two (2) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Prize (as awarded); (iii) releases the Released Parties from any and all liability in connection with this Contest, their participation therein and/or the awarding and use/misuse of the applicable Prize or any portion thereof; (iv) agrees to indemnify the Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from use of their Contest-Related Information or any portion(s) thereof; and (v) agrees to the publication, reproduction and/or other use of the Clinic’s name, address, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in perpetuity throughout the world in any manner or medium whatsoever, including print, broadcast or the internet.

If: (a) the Authorized Representative of an eligible winning Clinic cannot be contacted as set out set out above, or if there is a return of a notification as undeliverable; (b) the Authorized Representative of an eligible winning Clinic fails to correctly answer the skill-testing question; (c) the Authorized Representative of an eligible winning Clinic fails to return the properly executed Contest documents within the specified time; (d) an eligible winning Clinic cannot accept (or is unwilling to accept) a Prize (as awarded) for any reason; and/or (e) an Authorized Representative and/or eligible winning Clinic is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then the eligible winning Clinic will be disqualified (and will forfeit all rights to the applicable Prize) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate potential winner in accordance with the procedure outlined above, with the necessary amendments (in which case the foregoing provisions of this section shall apply to such newly selected potential winner).

14. GENERAL CONDITIONS:

This Contest is subject to all applicable federal, provincial/territorial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest, including without limitation the eligibility of entrants or any Contest-Related Information, are final and binding on all entrants without right of appeal.

ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE SPONSOR’S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

All Contest-Related Information becomes the property of the Sponsor. The Released Parties will not be liable for: (i) any failure of the Website or any other any website or platform during the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Contest-Related Information, winner notification message and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; (v) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (vi) any combination of the above.

The Sponsor reserves the right, subject only to the approval of the Régie des alcools, des courses et des jeux (the “Régie”) in Québec, to withdraw, amend or suspend the Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of the Contest as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of the Contest in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, subject only to the approval of the Régie in Québec, to cancel, amend or suspend the Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

The Sponsor reserves the right, subject only to the approval of the Régie in Québec, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by the Sponsor, for purposes of verifying compliance of any entrants, Contest-Related Information and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

FOR RESIDENTS OF QUÉBEC ONLY: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

By entering this Contest, each participant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Contest and in accordance with the Sponsor’s privacy policy (available at: https://www.petlineinsurance.com/pdf/Privacy_Statement.pdf). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

In the event of any discrepancy or inconsistency between the terms and conditions of these English Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, the French version of these Rules, the Website, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the terms and conditions of these English Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

To the fullest extent permitted by applicable law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules or the rights and obligations of participants, the Sponsor or any of the other the Released Parties in connection with the Contest will be governed by and construed in accordance with the domestic laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. The parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Rules or relating to the Contest.

RÈGLEMENT OFFICIEL DU CONCOURS

1. DATES CLÉS :

Le concours Petline Holiday (le « concours ») commence le 15 novembre 2022 à 0 h 00 heure de l'Est (« HE »), et se termine le 9 décembre 2022 à 23 h 59, 59 s., HE (la « période du concours »). Chaque « jour » de la période du concours comme à 0 h 00 HE et se termine à 23 h 59 HE du jour de la période du concours.

2. ADMISSIBILITÉ À PARTICIPER :

Le concours est ouvert uniquement aux cliniques partenaires de Petline Insurance Company (le « commanditaire ») qui : (i) ont un accord de recommandation valide avec le commanditaire; (ii) sont situés dans une province du Canada ou dans le territoire du Yukon; et (iii) sont le destinataire nommé et prévu d'un courriel promotionnel (ou de plusieurs courriels promotionnels) invitant la clinique à participer au concours (un « courriel »), tel que reçu directement du commanditaire ou en son nom (une « clinique »). Toutes les décisions concernant l'admissibilité d'une clinique à participer au concours seront prises par le commanditaire à sa seule et entière discrétion. Pour plus de certitude, les employés, représentants et agents (et les personnes qui vivent avec ceux-ci, qu'ils soient parents ou non) du commanditaire, de ses sociétés mères, sociétés affiliées, filiales, agences de publicité ou de promotion et toute autre personne, entité ou toutes entités qui participent au développement, à la mise en œuvre, à l'administration ou au déroulement du concours (collectivement, les « parties du concours ») ne sont pas admissibles à participer.

Aux fins de la participation à ce concours (y compris, mais sans s'y limiter, l'acceptation d'être légalement lié par le présent règlement officiel du concours (le « règlement ») et la signature de tous les documents requis), chaque clinique doit désigner un (1) représentant autorisé (chacun, un « représentant autorisé ») qui doit : (i) être un résident du Canada; (ii) avoir atteint l'âge légal de la majorité dans sa province/son territoire de résidence au moment de la participation; et (iii) avoir l'autorité de lier légalement la clinique - y compris, mais sans s'y limiter, de lier légalement la clinique au présent règlement et à tout autre document requis. POUR PLUS DE CERTITUDE ET AFIN D'ÉVITER TOUT DOUTE, LE REPRÉSENTANT AUTORISÉ N'EST PAS LE PARTICIPANT À CE CONCOURS ET N'A AUCUN DROIT, QUEL QU'IL SOIT, DE RÉCLAMER UN PRIX. LE PARTICIPANT À CE CONCOURS EST LA CLINIQUE.

3. ACCEPTATION D’ÊTRE JURIDIQUEMENT LIÉ PAR CE RÈGLEMENT :

En participant à ce concours, chaque participant et représentant autorisé confirme qu'il accepte d'être légalement lié par le présent règlement.

4. AUCUN ENGAGEMENT DE FACEBOOK ET INSTAGRAM :

Ce concours n'est d'aucune façon commandité, endossé ou administré par Facebook ou Instagram ou lié à ceux-ci (chacun, une « plateforme sociale »). Les plateformes de média social sont par les présentes complètement exonérées de toute responsabilité par chaque participant au présent concours. L'ensemble des questions, commentaires ou plaintes concernant le concours doit être adressé au commanditaire et non pas à une plateforme sociale. Pour être admissible à gagner une participation (définie ci-dessous) à ce concours, le compte Instagram ou Facebook (selon le cas) d'un participant (chacun, un « compte ») doit être configuré pour permettre que les publications soient vues par le public et recevoir des messages directs du commanditaire.

5. COMMENT PARTICIPER :

AUCUN ACHAT REQUIS. LE FAIT D’EFFECTUER UN ACHAT N’AUGMENTERA PAS LES CHANCES DE GAGNER.

Pendant la période du concours, les participants peuvent gagner une participation de base (chacune, une « participation de base ») au concours comme suit :

• Activation d'essai gratuit : Sélectionnez le lien de participation au concours dans le courriel pour accéder au site Web du concours (le « site Web ») et suivez toutes les instructions à l'écran pour : (i) activer une offre d'essai gratuit admissible du commanditaire; et (ii) remplir et soumettre le formulaire officiel du concours avec toutes les informations requises, qui comprendront la saisie du numéro d'activation de l'essai gratuit. Une fois toutes les étapes susmentionnées terminées, un participant sera automatiquement admissible à gagner une (1) participation de base au concours. Pour être admissible, une offre d'essai gratuit admissible du commanditaire doit être activée, et le numéro d'activation d'essai gratuit correspondant doit être soumis et reçu (ainsi que toute autre information requise par le commanditaire), conformément au présent règlement pendant la période du concours. Limite d'une (1) participation de base par activation d'essai gratuit. Pour plus de certitude et afin d'éviter tout doute, aucune information relative à l'achat ou au paiement n'est nécessaire pour activer une offre d'essai gratuit admissible.

Chaque jour du concours, les participants peuvent gagner une participation bonus (chacune, une « participation bonus ») au concours en remplissant une méthode de participation bonus conformément au présent règlement. Un (1) des modes de participation bonus suivants sera mis à disposition par le commanditaire par jour du concours sur le site Web (le mode de participation bonus mis à disposition chaque jour du concours sera déterminé par le commanditaire, à sa seule et entière discrétion) :

Soumettre une photo : Accédez au site Web et suivez toutes les instructions à l'écran pour : (i) obtenir le thème photographique pour cette journée du concours, tel que communiqué par le commanditaire sur le site Web (le « thème photograhique »); (ii) prendre une photo unique et originale qui représente ou reflète le thème photographique (une « photo »); et (iii) soumettre la photo par courriel (et confirmer que vous accordez votre consentement au commanditaire pour la publier et l'utiliser), au responsable territorial applicable du participant. Une fois toutes les étapes susmentionnées terminées, un participant sera automatiquement admissible à gagner une (1) participation bonus au concours. Pour être admissible, une photo doit : (i) être soumise et reçue conformément au présent règlement pendant le jour applicable de la période du concours; (ii) refléter le thème photographique applicable et inclure tous les éléments et documents requis indiqués ci-dessus et sur le site Web; et (iii) être conforme au présent règlement, y compris, mais sans s'y limiter, aux conditions de participation spécifiques énumérées ci-dessous (toutes déterminées par le commanditaire à sa seule et entière discrétion). Pour être admissible, une publication doit : (i) être soumise et reçue conformément au présent règlement pendant le jour applicable de la période du concours; (ii) refléter le thème de la publication applicable et inclure tous les éléments et documents requis indiqués ci-dessus et sur le site Web (y compris, sans s'y limiter, les mots-clics requis); (iii) être conforme au présent règlement, y compris, mais sans s'y limiter, aux conditions de participation spécifiques énumérées ci-dessous; et (iv) être conforme aux conditions, règles, politiques et directives applicables de la plateforme sociale applicable (les « règles de la plateforme sociale ») (toutes ces conditions étant déterminées par le commanditaire à sa seule et entière discrétion). Il y a une limite d'une (1) participation bonus par publication.

Les tarifs de données courants s'appliquent aux participants qui choisissent de participer au concours par l'entremise d'un appareil mobile. 6. LIMITE ET CONDITIONS DE PARTICIPATION :

Il n'y a pas de limite au nombre de participations de base et de participations bonus (collectivement, les « participations ») qui peuvent être reçues par participant au concours. S’il est découvert par le commanditaire (en utilisant toute preuve ou autre information mise à disposition ou autrement découverte par le commanditaire) qu’une personne a tenté de : (i) dépasser l’une des limites énoncées dans le présent règlement; (ii) utiliser plusieurs noms, identités, adresses de courriel, comptes et/ou utiliser un ou plusieurs systèmes ou programmes automatisés, macros, scripts, robots ou autres pour participer au concours ou le perturber; et/ou (iii) perturber le concours ou y participer de toute autre manière frauduleuse ou trompeuse, il pourra être exclu du concours à la seule et entière discrétion du commanditaire.

Les parties du concours, Meta Platforms, Inc. et chacun de leurs agents, employés, directeurs, responsables, successeurs et ayants droit respectifs (collectivement, les « parties exonérées ») ne sont pas responsables de quelque façon que ce soit de l'ensemble des photos, des témoignages, des messages, des participations, des contenus et des documents associés à une participation (les « documents de participation ») ou de toute autre information liée au concours (collectivement, les « informations liées au concours ») en retard, perdus, mal acheminés, retardés, incomplets ou incompatibles, qui sont tous nuls. Une participation pourra être rejetée si, à la seule et entière discrétion du commanditaire : (i) la participation (y compris, mais sans s'y limiter, tout document de participation associé) n'est pas soumise et reçue conformément au présent règlement pendant la période du concours; ou (ii) la participation (y compris, mais sans s'y limiter, tout document de participation associé) n'est pas conforme au présent règlement (y compris, mais sans s'y limiter, les conditions de participation spécifiques énumérées ci-dessous, le cas échéant), tout cela étant déterminé par le commanditaire à sa seule et entière discrétion.

7. VÉRIFICATION :

Tous les renseignements relatifs au concours et les participants sont susceptibles d’être vérifiés à tout moment et pour quelque raison que ce soit. Le commanditaire se réserve le droit, à sa seule et entière discrétion, d'exiger une preuve d'identité et/ou d'admissibilité (dans une forme acceptable pour le commanditaire – y compris, mais sans s'y limiter, une pièce d'identité avec photo délivrée par le gouvernement) : (i) pour vérifier l’admissibilité d’un participant à participer à ce concours; (ii) pour vérifier l’admissibilité et/ou la légitimité de tout renseignement lié au concours et/ou de tout autre renseignement saisi (ou prétendument saisi) aux fins de ce concours; et/ou (iii) pour toute autre raison que le commanditaire juge nécessaire, à sa seule et entière discrétion, aux fins de l’administration de ce concours conformément à la lettre et à l’esprit du présent règlement. Le fait de ne pas fournir cette preuve à l’entière satisfaction du commanditaire dans le délai spécifié par le commanditaire peut entraîner la disqualification à la seule et entière discrétion du commanditaire. Le seul moyen de déterminer l’heure aux fins du concours sera le ou les dispositifs officiels de chronométrage utilisés par le commanditaire.

8. EXIGENCES DE PARTICIPATION :

EN PARTICIPANT AU CONCOURS, CHAQUE PARTICIPANT ACCEPTE D'EXONÉRER LES PARTIES EXONÉRÉES DE TOUTE RESPONSABILITÉ RELATIVEMENT AU CONCOURS ET À SA PARTICIPATION À CELUI-CI, ET D'INDEMNISER LES PARTIES EXONÉRÉES CONTRE LES RÉCLAMATIONS, LES DOMMAGES, LES RESPONSABILITÉS, LES COÛTS ET LES DÉPENSES DÉCOULANT DE SA PARTICIPATION AU CONCOURS. EN PARTICIPANT À CE CONCOURS, CHAQUE PARTICIPANT CONFIRME ÉGALEMENT QUE SA PARTICIPATION (ET CHAQUE ÉLÉMENT INDIVIDUEL DE CELLE-CI – Y COMPRIS, MAIS SANS S'Y LIMITER, LES DOCUMENTS DE PARTICIPATION) EST CONFORME À L'ENSEMBLE DES CONDITIONS ÉNONCÉES DANS LE PRÉSENT RÈGLEMENT. LES PARTIES EXONÉRÉES N'ASSUMERONT AUCUNE RESPONSABILITÉ DE QUELQUE NATURE QUE CE SOIT CONCERNANT : (I) L'UTILISATION DE LA PARTICIPATION DU PARTICIPANT (OU DE TOUT ÉLÉMENT DE CELLE-CI – Y COMPRIS, MAIS SANS S'Y LIMITER, LES DOCUMENTS DE PARTICIPATION); (II) LA PARTICIPATION À TOUTE ACTIVITÉ LIÉE AU CONCOURS; (III) L'UTILISATION, LA COLLECTE, LE STOCKAGE ET LA DIVULGATION DE TOUT RENSEIGNEMENT PERSONNEL; ET/OU (IV) S'IL EST DÉCLARÉ GAGNANT, CONCERNANT LE PRIX (Y COMPRIS TOUTE UTILISATION OU MAUVAISE UTILISATION DU PRIX QUE CE SOIT). CHAQUE PARTICIPANT DEVRA EXONÉRER LES PARTIES EXONÉRÉES AU CAS OÙ IL EST DÉCOUVERT QU'IL N'A PAS RESPECTÉ OU QU'IL NE S'EST PAS ENTIÈREMENT CONFORMÉ À L'ENSEMBLE DU PRÉSENT RÈGLEMENT ET/OU DES RÈGLES DE LA PLATEFORME SOCIALE (LE CAS ÉCHÉANT). CETTE EXONÉRATION ET CETTE INDEMNISATION SE POURSUIVRONT APRÈS LA FIN DU CONCOURS ET/OU APRÈS L'ATTRIBUTION DE QUELQUE PRIX QUE CE SOIT.

En participant à ce concours, chaque participant garantit et déclare par les présentes que tous les documents de participation qu'il soumet :

sont des documents originaux et que le participant a obtenu tous les droits nécessaires concernant les documents de participation aux fins de la soumission de ces documents de participation dans le cadre du concours;
n'enfreint aucune loi, aucun acte législatif, aucune ordonnance, ni aucun règlement;
ne contient aucune référence à des tiers identifiables ni aucune image de ceux-ci, à moins que le consentement de ces personnes et de leurs parents/tuteur légal, si elles n’ont pas atteint l’âge de la majorité dans leur administration de résidence, n’ait été obtenu;
ne donnera lieu à aucune réclamation de quelque nature que ce soit, y compris, mais sans s'y limiter, les plaintes pour contrefaçon, atteinte à la vie privée ou violation des droits de publicité, ou n’enfreindra aucun droit et/ou intérêt de quelque tiers que ce soit; et
n'est pas diffamatoire, diffamatoire à l'égard de toute entreprise, pornographique ou obscène, et qu'il ne contiendra pas, ne représentera pas, n'inclura pas, n'abordera pas ou n'impliquera pas, sans restriction, les éléments suivants : nudité; consommation d'alcool/drogues ou tabagisme; activité sexuelle explicite ou graphique, ou insinuation à caractère sexuel; langage et/ou symbole cru, vulgaire ou offensant; caractérisations désobligeantes de tout groupe ethnique, racial, sexuel, religieux ou autre (y compris, mais sans s'y limiter, tout concurrent du commanditaire); contenu qui endosse, cautionne et/ou aborde toute conduite ou tout comportement illégal, inapproprié ou dangereux; renseignements personnels de personnes, y compris, mais sans s'y limiter, noms, numéros de téléphone et adresses (physiques ou électroniques); messages commerciaux, comparaisons ou sollicitations pour des produits ou des services autres que ceux du commanditaire; tout produit, marque de commerce, marque et/ou logo identifiable d'un tiers, autres que ceux du commanditaire; conduite ou autre activité qui contrevient au présent règlement; et/ou tout autre document qui est considéré ou pourrait être considéré comme inapproprié, inadapté ou offensant selon le jugement du commanditaire, à sa seule et entière discrétion.

Le commanditaire et/ou son agence de promotion ou son modérateur de contenu désigné (le « réviseur ») se réservent le droit de filtrer tous les documents de participation. Tout document de participation que le réviseur juge, à sa seule et entière discrétion, en infraction avec les conditions générales établies dans le présent règlement, peut être disqualifié. Le réviseur se réserve le droit, à sa seule et entière discrétion, en tout temps et pour quelque raison que ce soit, de retirer tout document de participation (ou toute partie de celui-ci) et/ou de demander à un participant de modifier, d'éditer et/ou de soumettre à nouveau son document de participation (ou une partie de celui-ci) afin de s'assurer que les documents de participation sont conformes au présent règlement, ou pour toute autre raison. Si une telle mesure est nécessaire en tout temps pendant ou après le concours, le commanditaire se réserve alors le droit, à sa seule et entière discrétion, de prendre toute mesure jugée nécessaire en fonction de la situation – y compris, mais sans s'y limiter, la disqualification des documents de participation (et par conséquent, de la participation et/ou du participant qui y est associé) – afin de s'assurer que le concours est mené conformément à la lettre et à l'esprit du présent règlement.

9. LICENCE :

En participant au concours et en soumettant une participation, chaque participant : (i) sans limiter le règlement de la plateforme de média social, le cas échéant, accorde au commanditaire, à perpétuité, une licence non exclusive et mondiale lui permettant de publier, d'afficher, de reproduire, de modifier, d'éditer, de mettre à disposition, de communiquer au public par télécommunication et d'utiliser de toute autre façon ses documents de participation (et chaque élément de ceux-ci), en totalité ou en partie, pour annoncer ou promouvoir le concours ou pour toute autre raison; (ii) renonce à l'ensemble des droits moraux concernant ses documents de participation (et chaque élément de ceux-ci) en faveur du commanditaire (et de toute personne autorisée par le commanditaire à utiliser ces documents de participation); et (iii) accepte d'exonérer et de dégager de toute responsabilité les parties exonérées en ce qui concerne l'ensemble des réclamations, des dommages, des responsabilités, des coûts et des dépenses découlant de l'utilisation de ses documents de participation (ou de toute partie de ceux-ci), y compris, mais sans s'y limiter, toute réclamation fondée sur des droits de publicité, la diffamation, une atteinte à la vie privée, une infraction au droit d'auteur, une infraction à une marque de commerce ou à toute autre propriété intellectuelle connexe, ou tout autre motif de quelque nature que ce soit.

10. PRIX :

Il y a trois (3) prix à gagner (chacun, un « prix ») comme suit :

a) un (1) forfait bien-être, d'une valeur au détail approximative (« VDA ») de 500 $ CAN;

b) un (1) forfait soirée cinéma, d'une VDA de 300 $ CAN;

c) cartes-cadeaux pour du café, d'une VDA de 200 $ CAN.

Les conditions générales suivantes s’appliquent à chaque prix : (i) le prix doit être accepté tel qu’il est attribué et n’est pas transférable, cessible ou convertible en espèces (sauf autorisation spécifique du commanditaire à sa seule et entière discrétion); (ii) aucune substitution n’est autorisée, sauf à la discrétion du commanditaire; (iii) le commanditaire se réserve le droit de remplacer le prix, en totalité ou en partie, dans l’éventualité où la totalité ou un élément de ce prix ne serait pas disponible, par un prix ou un ou plusieurs éléments de prix d’une valeur au détail égale ou supérieure, y compris, sans s’y limiter, mais à la seule discrétion du commanditaire, un prix en espèces; (iv) toutes les caractéristiques et tous les éléments du prix, sauf indication contraire explicite ci-dessus, sont à la seule et entière discrétion du commanditaire; (v) le gagnant du prix est entièrement responsable de tous les coûts qui ne sont pas expressément décrits dans les présentes; et (vi) les cartes-cadeaux sont assujetties à l'ensemble des conditions énoncées par l'émetteur applicable. REMARQUE IMPORTANTE : Les prix seront attribués aux cliniques gagnantes confirmées. Les parties au concours ne s'impliqueront pas, et les parties exonérées n'acceptent aucune obligation ou responsabilité en ce qui concerne toute décision relative à la distribution, à l'attribution, à l'utilisation ou à la mauvaise utilisation ultérieure d'un prix.

Aucune des parties exonérées ne fait quelque déclaration que ce soit ou n'offre une quelconque garantie, explicite ou implicite, concernant la qualité ou l'adaptation à un usage particulier de tout prix remis en lien avec le concours. Dans toute la mesure permise par les lois applicables, chaque gagnant confirmé comprend et confirme qu'il ne pourra pas demander un remboursement ni intenter un recours en droit ou en équité contre le commanditaire ou une autre partie exonérée si un prix n'est pas adapté à son usage ou est jugé insatisfaisant de quelque façon que ce soit. Pour plus de certitude et éviter tous les doutes, en acceptant un prix, le gagnant confirmé accepte de renoncer à tous les recours contre le commanditaire et toutes les autres parties exonérées si le prix ou une partie de celui-ci n'est pas jugé satisfaisant, en totalité ou en partie. Limite d’un (1) prix par clinique.

11. PROCESSUS DE SÉLECTION DES GAGNANTS ADMISSIBLES :

Le 20 décembre 2022 (la « date de sélection ») à Winnipeg, au Manitoba, à environ 12 h HE, le commanditaire ou son représentant désigné effectuera un tirage au sort parmi toutes les participations admissibles soumises et reçues conformément au présent règlement pendant la période du concours afin de sélectionner les cliniques potentiellement gagnantes du prix. Les prix seront tirés dans l'ordre indiqué ci-dessus. Les chances de gagner dépendent du nombre de participations admissibles soumises et reçues conformément au présent règlement pendant la période du concours.

12. PROCESSUS DE NOTIFICATION DES GAGNANTS ADMISSIBLES :

Le commanditaire ou son représentant désigné fera un minimum de deux (2) tentatives pour contacter le représentant autorisé de chaque clinique gagnante admissible dans les deux (2) jours ouvrables suivant la date de sélection. Un gagnant potentiel est seul responsable de s'assurer qu'il est en mesure de recevoir ces messages de notification, de surveiller ces messages de notification et de suivre toutes les instructions contenues dans ces messages de notification, faute de quoi il peut être disqualifié (comme déterminé par le commanditaire à sa seule discrétion).

13. PROCESSUS DE CONFIRMATION DES GAGNANTS ADMISSIBLES :

IL N'Y A AUCUNE CLINIQUE GAGNANTE À MOINS ET JUSQU'À CE QUE LE COMMANDITAIRE CONFIRME OFFICIELLEMENT QU'UNE CLINIQUE EST GAGNANTE CONFORMÉMENT AU PRÉSENT RÈGLEMENT. AVANT D'ÊTRE DÉCLARÉE COMME CLINIQUE GAGNANTE CONFIRMÉE, le représentant autorisé de la clinique gagnante admissible devra : (a) répondre correctement à une question d'habilité mathématique sans aide mécanique ou autre (qui peut, à la seule et entière discrétion du commanditaire, être administrée en ligne, par courriel ou par tout autre moyen électronique, par téléphone ou dans le formulaire de déclaration et d'exonération du commanditaire); et (b) signer et retourner dans les deux jours ouvrables qui suivent la notification le formulaire de déclaration et d'exonération du commanditaire, lequel (entre autres choses) : (i) confirme sa conformité au présent règlement; (ii) confirme l'acceptation du prix (comme attribué); (iii) exonère les parties exonérées de l'ensemble des responsabilités en lien avec le présent concours, sa participation à celui-ci et/ou l'attribution et l'utilisation ou la mauvaise utilisation du prix applicable ou de toute partie de celui-ci; (iv) accepte d'indemniser les parties exonérées contre l'ensemble des réclamations, des dommages, des responsabilités, des coûts et des dépenses découlant de l'utilisation de ses renseignements liés au concours ou d'une partie de ceux-ci; et (v) consent à la publication, la reproduction et/ou d'autres utilisations du nom de la clinique, de son adresse, de ses déclarations au sujet du concours et/ou de sa photo ou de son image sans autre avis ou dédommagement, dans toute publicité ou annonce réalisée par le commanditaire ou en son nom, peu importe la façon ou le média, y compris par impression, diffusion ou Internet, et ce, à l'échelle mondiale et à perpétuité.

Si : (a) le représentant autorisé d'une clinique gagnante admissible ne peut être contacté comme indiqué ci-dessus, ou si un avis est retourné comme non distribuable; (b) le représentant autorisé d'une clinique gagnante admissible ne répond pas correctement à la question réglementaire; (c) le représentant autorisé d'une clinique gagnante admissible ne retourne pas les documents du concours dûment signés dans le délai imparti; (d) une clinique gagnante admissible ne peut pas accepter (ou ne veut pas accepter) un prix (tel qu'attribué) pour quelque raison que ce soit; et/ou (e) un représentant autorisé et/ou une clinique admissible gagnante enfreint le présent règlement (comme déterminé par le commanditaire à sa seule et entière discrétion); la clinique admissible gagnante sera alors disqualifiée (et perdra tous ses droits au prix applicable) et le commanditaire se réserve le droit, à sa seule et entière discrétion et si le temps le permet, de sélectionner un autre gagnant potentiel conformément à la procédure décrite ci-dessus, avec les modifications nécessaires (auquel cas les dispositions précédentes de cette section s'appliqueront à ce nouveau gagnant potentiel sélectionné).

14. CONDITIONS GÉNÉRALES :

Ce concours est soumis à toutes les lois fédérales, provinciales/territoriales et municipales applicables. Les décisions du commanditaire concernant tous les aspects de ce concours, y compris, sans s’y limiter, l’admissibilité des participants ou toute information liée au concours, sont définitives et obligatoires pour tous les participants, sans droit d’appel.

TOUTE PERSONNE DONT LE COMMANDITAIRE ESTIME QU’ELLE AGIT EN VIOLATION DE L’INTERPRÉTATION, PAR LE COMMANDITAIRE, DE LA LETTRE ET/OU DE L’ESPRIT DU PRÉSENT RÈGLEMENT POUR QUELQUE RAISON QUE CE SOIT PEUT ÊTRE DISQUALIFIÉE À LA SEULE ET ENTIÈRE DISCRÉTION DU COMMANDITAIRE À TOUT MOMENT.

Tous les renseignements relatifs au concours deviennent la propriété du commanditaire. Les parties exonérées ne sont pas responsables : (i) toute défaillance du site Web ou de tout site Web ou plateforme pendant le concours; (ii) tout dysfonctionnement technique ou autre problème de quelque nature que ce soit, y compris, mais sans s’y limiter, ceux liés au réseau ou aux lignes téléphoniques, aux systèmes informatiques en ligne, aux serveurs, aux fournisseurs d’accès, au matériel informatique ou aux logiciels; (iii) l’échec de la réception, de la saisie ou de la sauvegarde de toute information relative au concours, de tout message de notification des gagnants et/ou de toute autre information pour quelque raison que ce soit, y compris, mais sans s’y limiter, les problèmes techniques ou la congestion du trafic sur Internet ou sur tout site Web; (iv) toute blessure ou tout dommage à l’ordinateur ou à tout autre dispositif d’un participant ou de toute autre personne lié à la participation au concours ou en résultant; (v) toute personne identifiée de manière incorrecte et/ou erronée comme un gagnant ou un gagnant admissible; et/ou (vi) toute combinaison des éléments ci-dessus.

Le commanditaire se réserve le droit, sous réserve uniquement de l’approbation de la Régie des alcools, des courses et des jeux (la « Régie ») au Québec, de retirer, de modifier ou de suspendre le concours (ou de modifier le présent règlement) de quelque façon que ce soit, dans l’éventualité d’une cause hors du contrôle raisonnable du commanditaire, qui interfère avec le bon déroulement du concours comme prévu par le présent règlement, y compris, sans s’y limiter, toute erreur, tout problème, tout virus informatique, tout bogue, toute falsification, toute intervention non autorisée, toute fraude ou toute défaillance de quelque nature que ce soit. Toute tentative d'entraver le déroulement légitime de ce concours de quelque façon que ce soit (selon le jugement du commanditaire, à sa seule et entière discrétion) pourrait constituer une infraction aux lois criminelles et civiles, et si une telle tentative est faite, le commanditaire se réserve le droit de réclamer des dommages et intérêts dans toute la mesure permise par la loi. Le commanditaire se réserve le droit, sous réserve uniquement de l’approbation de la Régie au Québec, d’annuler, de modifier ou de suspendre le concours, ou de modifier le présent règlement, de quelque façon que ce soit, sans préavis ni obligation, en cas d’accident, d’erreur d’impression, d’erreur administrative ou autre de quelque nature que ce soit, ou pour toute autre raison que ce soit. Le commanditaire se réserve le droit, à sa seule et entière discrétion, de faire passer un autre test d’aptitude, s’il le juge approprié, en fonction des circonstances et/ou pour se conformer à la loi applicable.

Le commanditaire se réserve le droit, sous réserve de l’approbation de la Régie au Québec, d’ajuster les dates, les délais et/ou les autres mécanismes du concours stipulés dans le présent règlement, dans la mesure où le commanditaire le juge nécessaire, afin de vérifier la conformité des participants, les informations relatives au concours et/ou d’autres informations en lien avec le présent règlement, ou à la suite de tout problème technique ou autre, ou à la lumière de toute autre circonstance qui, de l’avis du commanditaire, à sa seule et entière discrétion, affecte la bonne administration du concours tel que prévu dans le présent règlement, ou pour toute autre raison.

POUR LES RÉSIDENTS DU QUÉBEC SEULEMENT : Tout litige concernant le déroulement ou l'organisation d'un concours publicitaire peut être soumis à la Régie des alcools, des courses et des jeux, pour décision. Tout litige concernant l'attribution d'un prix peut être soumis au conseil dans le seul but d'aider les parties à parvenir à un règlement.

En participant au présent concours, chaque participant consent explicitement à ce que le commanditaire, ses mandataires et/ou ses représentants stockent, partagent et utilisent les renseignements personnels envoyés uniquement aux fins de l'administration de ce concours, conformément à la politique de confidentialité du commanditaire (qui se trouve au : https://www.petlineinsurance.com/pdf/Privacy_Statement.pdf). Le présent article ne limite aucun autre consentement qu’une personne peut donner au commanditaire ou à d’autres personnes quant à la collecte, à l’utilisation et/ou à la divulgation des renseignements personnels la concernant.

En cas de disparité ou d'incohérence entre les modalités du présent règlement et des déclarations ou autres énoncés contenus dans les documents liés au concours rédigés en anglais, y compris, mais sans s'y limiter, la version française du présent règlement, le site Web, la publicité au point de vente, la publicité à la télévision, la publicité imprimée ou la publicité en ligne et/ou toute instruction ou interprétation de ce règlement donnée par un représentant du commanditaire, les modalités du règlement en anglais prévaudront, régiront et contrôleront dans toute la mesure permise par la loi.

L’invalidité ou l’inapplicabilité de toute disposition du présent règlement n’affecte pas la validité ou l’applicabilité des autres dispositions. Dans le cas où une disposition serait jugée invalide, inapplicable ou illégale, le présent règlement restera en vigueur et sera interprété conformément aux modalités comme si la disposition invalide ou illégale ne figurait pas dans les présentes.

Dans toute la mesure permise par la loi applicable, tous les problèmes et toutes les questions concernant l’élaboration, la validité, l’interprétation et le caractère exécutoire du présent règlement ou les droits et obligations des participants, du commanditaire ou de toute autre partie exonérée dans le cadre du concours seront régis et interprétés conformément aux lois nationales de la province de l’Ontario et aux lois fédérales du Canada qui s’y appliquent, sans donner effet à un choix de loi ou à des règles ou dispositions de conflit de lois qui entraîneraient l’application des lois d’une autre compétence. Les parties acceptent par les présentes l'exclusivité de compétence et de lieu des tribunaux de la province d'Ontario dans toute action pour appliquer (ou autrement en lien avec) ce règlement ou en lien avec le concours.
